Terms of Use

Section:1

Please read these terms and conditions carefully before accessing or using the Platform (defined hereinafter). These Terms along with the Privacy Policy published on the Platform ("Privacy Policy") and other policies (as may be notified/displayed/published on the Platform) constitutes the contract between the Users of this Platform and RAV STUDIO (collectively "Agreement"). By use of the Platform, Users agree to be bound by these Agreement as posted on the Platform from time to time.

RAV Studio is an application which provides an online marketplace ("Application") where we offer to sell products to registered users of Application. The Application and the website at www.ravstudio.in ("Website") (collectively, "Platform") are operated by “RAV STUDIO”.

The Agreement is applicable to any person when they install, download or even merely visit or access any part of the Platform or utilise the Services, such persons are referred to as users, which include without limitation users who are browsers, Suppliers, Resellers, merchants, other purchaser or contributors of content (collectively, "User").

Accessing, browsing or otherwise using the site indicates user agreement to all the terms and conditions under these terms of use, so please read the terms of use carefully before proceeding. By impliedly or expressly accepting these Terms of Use, user also accept and agree to be bound by RAV Studio Policies (including but not limited to Privacy Policy available at Privacy) as amended from time to time.

When user uses any of the services provided by RAV STUDIO through the platform, including but not limited to, (e.g. Product Reviews, Seller Reviews), user will be subject to the rules, guidelines, policies, terms, and conditions applicable to such service, and they shall be deemed to be incorporated into this Terms of Use and shall be considered as part and parcel of this Terms of Use. We reserve the right, at Our sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time without any prior written notice to user. It is user responsibility to review these Terms of Use periodically for updates / changes. User continued use of the platform following the posting of changes will mean that user accept and agree to the revisions. As long as user comply with these Terms of Use, we grant user a non-exclusive, non-transferable, limited privilege to enter and use the platform.

Platform is controlled and operated from India and RAV STUDIO makes no representation that the content, information or materials made available herein are appropriate or will be available for use in other locations. Access and use of this Platform from outside India is entirely at user's sole risk and user agrees and undertakes to be responsible for compliance with all applicable local laws and agrees to release, discharge and absolve RAV STUDIO from any liability or loss in this respect.

RAV STUDIO reserves the right to introduce and initiate new features, functionalities and components to Platform and/or change, alter, modify, suspend, discontinue or remove the existing ones without any prior notice to User. Further, RAV STUDIO is entitled to discontinue (either permanently or temporarily) one or more of the Services provided or terminate the Platform or charge for Service which were early free of cost, without any prior notice to User.

If the User does not agree with the terms of the Agreement, the user is advised to refrain from using the platform. By accessing or using the platform, the user irrevocably accepts the agreement and agrees to abide by the same (as updated from time to time).

Section:2 - User subject to eligibility criteria

In case any individual under the age of 18 years of age is utilizing the Platform, such usage will be undertaken only with the strict supervision and approval of a parent or a legal guardian or any other person having parental responsibility for the child, and RAV STUDIO will not be responsible for the same at any time and in any manner whatsoever.

The RAV STUDIO reserves the right to terminate the users account and / or deny access to the platform if it is brought to the RAV STUDIO’s notice or if it is discovered that the user does not meet the conditions herein. User(s) accessing or using the platform represent and warrant that they have the right to access or use the platform.

Section:3 - User Account and Registration Obligations

The registration is limited for the purpose of buying/selling products or using any service provided on the platform, is subject to this agreement and strictly not transferable. If user uses the platform, User shall be responsible for maintaining the confidentiality of their Display Name and Password and user shall be responsible for all activities that occur under their Display Name and Password. User agrees that if they provide any information that is untrue, inaccurate, not current or incomplete or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with this Terms of Use, we shall have the right to indefinitely suspend or terminate or block access of user account on the platform and refuse to provide user with access to the platform.

User mobile phone number and/or e-mail address is treated as primary identifier on the platform. It is user responsibility to ensure that their mobile phone number and email address is up to date on the platform at all times.

User agrees that RAV STUDIO shall not be liable or responsible for the activities or consequences of use or misuse of any information that occurs under User account in cases, If user shares or allow others to have access to their account on the platform (“Account”). User shall be solely liable and responsible for all the activities undertaken under their account, and any consequences therefrom.

The users agree to immediately notify the RAV STUDIO of any unauthorised use of their account or any other breach of security that they become aware of; and ensure that they exit from their account at the end of each session.

Section:4 - Communications

When user uses the platform or send emails or other data, information or communication to us, User agrees and understand that user are communicating with us through electronic records and user consent to receive communications via electronic records from us periodically and as and when required. RAV STUDIO may communicate with user by email or by such other mode of communication, electronic or otherwise.

RAV STUDIO urges the users to beware of fake offers and fraudulent callers/messengers who may impersonate themselves as representatives of the RAV STUDIO. The RAV STUDIO’s authorised representatives will never contact the users to demand money for prizes or ask for password/PIN/CVV. Please see our Anti Phishing communication available on the Platform.

Section:5 - Use of Platform

RAV Studio is a platform that users utilize to meet and interact with one another for their transactions. RAV Studio is not and cannot be a party to or control in any manner any transaction between the platform's users.

All commercial/contractual terms are offered by and agreed to between Buyers and RAV Studio alone. The commercial/contractual terms include without limitation price, shipping costs, payment methods, payment terms, date, period and mode of delivery, warranties related to products and services and after sales services related to products and services.

RAV STUDIO makes all reasonable efforts to promptly update the Users account and other information in order to assist facilitate the transaction completion. Hence, Users are required to provide current, complete and accurate purchase and account information for all purchases made at on the Application or any services availed on the platform.

Policies related to returns, penalties, refunds, cancellation will be updated in the platform from time to time. The RAV STUDIO holds the right to change these policies as required in the platform without any permission from the Users.

RAV Studio accepts no liability for any errors or omissions, whether on behalf of itself or third parties.

RAV Studio does not make any representation or warranty as to the item-specifics (such as legal title, creditworthiness, identity, etc) of any of its users. User are advised to independently verify the details of any particular user that user choose to deal with on the platform and use User’s best judgment in that behalf. Apart from reasonable checks to ensure general hygiene of platform, RAV STUDIO does not exercise any control over such content or information.

RAV Studio is not responsible for unsatisfactory or delayed performance of services or damages or delays as a result of products which are out of stock, unavailable or back ordered.

Placement of order by a Buyer with RAV Studio (also referred as a Seller in present context) on the platform is an offer to buy the product(s) in the order by the Buyer to the RAV Studio and it shall not be construed as RAV Studio acceptance of Buyer's offer to buy the product(s) ordered. The Seller retains the right to cancel any such order placed by the Buyer, at its sole discretion and the Buyer shall be intimated of the same by way of an email/SMS. Any transaction price paid by Buyer in case of such cancellation by Seller, shall be refunded to the Buyer with respect to return policy.

Fulfilment of orders to their end users/consumers by Seller shall be the responsibility of the Seller.

While availing any of the payment method/s available on the Platform, RAV STUDIO will not be responsible or assume any liability, whatsoever in respect of any loss or damage arising directly or indirectly to user due to:

Lack of authorization for any transaction/s, or
Exceeding the preset limit mutually agreed by User and between "Bank/s", or
Any payment issues arising out of the transaction, or
Decline of transaction for any other reason/s

All payments made against the purchases/services on platform by user shall be compulsorily in Indian Rupees acceptable in the as per the applicable law of INDIA. Platform will not facilitate transaction with respect to any other form of currency with respect to the purchases made on platform.

Before shipping / delivering User order to User, Seller may request user to provide supporting documents (including but not limited to Govt. issued ID and address proof) to establish the ownership of the payment instrument used by user for user purchase. This is done in the interest of providing a safe online shopping environment to users.

Transactions, Transaction Price and all commercial terms such as Delivery, Dispatch of products and/or services are as per principal to principal two parties contractual obligations between Buyer and Seller and payment facility is merely used by the Buyer and Seller to facilitate the completion of the Transaction. Use of the payment facility shall not render RAV Studio liable or responsible for the non-delivery, non-receipt, non-payment, damage, breach of representations and warranties, non-provision of after sales or warranty services or fraud as regards the products and /or services listed on RAV Studio platform.

The users understand, accept and agree that the payment facility provided by the RAV STUDIO is neither a banking nor financial service but is merely a facilitator providing a third party payment processor for the transactions on the platform. By providing payment facility, the RAV STUDIO is neither acting as a trustee nor acting in a fiduciary capacity with respect to the transaction or the transaction price. The RAV STUDIO will not be liable for any charges made by the users bank in relation to payment of the total amount.

In connection with any order, information such as name, billing address and payment related information may need to be provided either to the RAV STUDIO or the third party payment processor. If the Users are directed to the third party payment processor, they may be subject to terms and conditions governing use of that third party’s service and that third party’s personal information collection practices. Users are requested to review such terms and conditions and privacy policy before using the Application. In case of Reseller providing billing information, delivery address or other contact information of its end user/consumer to RAV STUDIO or other delivery service provider, Reseller shall ensure that it has necessary consents and approvals from the respective end user/consumer as may be required under applicable law.

GST invoice will have, inter alia, the following details printed on it: - GSTIN associated with user registered business, as provided by User

Not all products are eligible for business purchases on the platform and the same is solely at the discretion of the Seller. User will be able to view the eligibility of Tax Invoice on the product page on the platform.

For seamless availment of input tax credit, kindly mention the delivery address as the address which is mentioned as the registered place of business as per the records of GST authority. Please note that availment of input tax credit is subject to provisions of GST Act and rules.

The delivery and billing addresses will be required to be the same, please note that input tax credit will be denied by GST authority if the delivery address and GSTIN in the GST invoice are of different states.

If GSTIN and/or business entity details are not provided by user, it will be presumed that it is a personal purchase and not a business purchase.

RAV Studio is not responsible to verify the correctness of the GSTIN and/or entity name provided by user and User shall be entirely responsible to provide the accurate details.

RAV Studio shall not entertain any request for any revision in the GST Invoice. RAV Studio shall not be liable for user default including for reasons associated with details provided by user. RAV Studio will not be liable in case user are not able to avail input tax credit or if input tax credit is denied to user for any reason whatsoever.

User shall be solely liable for all compliances required under applicable laws.

User agree to indemnify and hold RAV STUDIO harmless from all losses, claims, costs, expenses, suits, proceedings, or any other liability including any third-party claims (including any penalties imposed by governmental authorities) arising out of or in connection with (1) the GSTIN and/or entity name provided by user or the input tax credit claimed by user or User use or misuse of the GST Invoice and (2) User non-compliance with the applicable laws or (3) User use or misuse of any third-party’s details including GSTIN.

RAV Studio has the right to not allow business purchases on the platform to user if a fraudulent activity is identified.

Seller reserves the right to not issue Tax Invoice or issue a credit note against an already issued Tax Invoice to cancel the transaction, if any fraudulent activity is identified.

User shall independently agree upon the manner and terms and conditions of delivery, payment, insurance etc. with the seller(s) that user transact with.

As a Buyer, understand that upon initiating a Transaction user are entering into a legally binding and enforceable contract with the Seller to purchase the products and /or services from the Seller using the payment facility, and user shall pay the Transaction Price through user issuing bank using payment facility.

As a Buyer, may agree with the Seller through electronic communication and electronic records and using the automated features as may be provided by payment facility on any extension / increase in the Dispatch and/or Delivery time and the Transaction shall stand amended to such extent. Any such extension / increase of Dispatch / Delivery time or subsequent novation / variation of the Transaction should be in compliance with payment facility Rules and Policies.

RAV Studio reserves the right to impose limits on the number of Transactions or Transaction price which RAV Studio may receive from on an individual Valid Credit/Debit/ Cash Card / Valid Bank Account/ and such other infrastructure or any other financial instrument directly or indirectly through payment aggregator or through any such facility authorized by Reserve Bank of India to provide enabling support facility for collection and remittance of payment or by an individual Buyer during any time period, and reserves the right to refuse to process Transactions exceeding such limit.

RAV Studio reserves the right to refuse to process Transactions by Buyers with a prior history of questionable charges including without limitation breach of any agreements by Buyer with RAV Studio or breach/violation of any law or any charges imposed by Issuing Bank or breach of any policy.

RAV Studio may delay notifying the payment confirmation, if RAV Studio deems suspicious or for Buyers conducting high transaction volumes to ensure safety of the Transaction and Transaction Price. In addition, RAV Studio may hold Transaction price and RAV Studio may not Dispatch or remit Transaction Price to law enforcement officials (instead of refunding the same to Buyer) at the request of law enforcement officials or in the event the Buyer is engaged in any form of illegal activity.

The Buyer acknowledge that RAV Studio will not be liable for any damages, interests or claims etc. resulting from not processing a Transaction/Transaction price or any delay in processing a Transaction/Transaction Price which is beyond control of RAV Studio.

RAV STUDIO endeavours to make the platform available 24X7. However, the RAV STUDIO does not represent that access to the platform will be uninterrupted, timely, error free, free of viruses or other harmful components or that such defects will be corrected.

Users understand and acknowledge that the use of platform requires internet connectivity and telecommunication links. Users shall bear the costs incurred to access and use the platform and avail Services, and RAV STUDIO shall not, under any circumstances whatsoever, be responsible or liable for such costs.

RAV STUDIO does not warrant that platform will be compatible with all hardware and software which is used by users.

Platform may be under constant upgrades, and some functions and features may not be fully operational. Platform is provided on an 'as is' and 'as available' basis. RAV STUDIO expressly disclaims all warranties of any kind, whether express or implied with respect to the records and other data that is made available by it to users.

Users shall be solely responsible for damages to their data system or for loss of data arising from download of content from Application. No guidance or information, written or oral, obtained from RAV STUDIO or via Platform, shall constitute any warranty, unless stated otherwise.

User should not use the Platform to host, display, upload, download, modify, publish, transmit, update or share any information which:

Violates the policy guidelines of Government of INDIA/Respective state government(Of INDIA);
Threatens the unity, integrity, defence, security or sovereignty of INDIA, friendly relations with foreign states, threatens public order, or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or insulting other nations;
Violates the policy guidelines of RAV Studio published on the platform;
Infringes upon or violates any third party's rights [including, but not limited to, intellectual property rights, rights of privacy (including without limitation unauthorized disclosure of a person's name, email address, physical address or phone number) or rights of publicity];
Promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices;
Tries to gain unauthorized access or exceeds the scope of authorized access to the Application or to the profiles, blogs, communities, account information, or other areas of the Application or solicits passwords or personal identifying information for commercial or unlawful purposes from other users;
Directly or indirectly, offers, attempts to offer, trades or attempts to trade in any item, dealing of which is prohibited or restricted in any manner under the provisions of any applicable law, rule, regulation or guideline for the time being in force.

Platform may contain certain historical information. Historical information, necessarily, is not current and is provided for user reference only. The RAV STUDIO reserves the right to modify the contents of platform at any time, but has no obligation to update any information on platform. User is solely responsible to monitor changes to the information on platform. No specified update or refresh date applied to platform, should be taken to indicate that all information on platform or pertaining to the services have been modified or updated.

Occasionally there may be information on platform that contains typographical errors, inaccuracies or omissions that may relate to information pertaining to the products, pricing, promotions, offers, shipping charges, transit times and availability. RAV STUDIO reserves the right to correct any errors, inaccuracies or omissions, and to change or update information if any information on platform is inaccurate at any time without prior notice.

RAV STUDIO reserves the right, but has no obligation, to monitor the materials posted on platform. RAV STUDIO, however, has the right to remove or edit any content that in its sole discretion violates, or is alleged to violate, any applicable law or either the spirit of these Terms. In no event shall RAV STUDIO assume any responsibility or liability for any content posted or for any claims, damages or losses resulting from use of content and/or appearance of content on platform.

Section:6 - Charges

RAV Studio may charge a nominal fee for browsing and buying on the platform. RAV Studio reserves the right to change its Fee policy from time to time. In particular, RAV Studio may at its sole discretion introduce new services/fees and modify some or all of the existing services/fees offered on the platform. In such an event, RAV Studio reserves the right to introduce fees for the new services offered or amend/introduce fees for existing/new services, as the case may be. Changes to the Fee policy shall be posted on the platform and such changes shall automatically become effective immediately after they are posted on the platform. Unless otherwise stated, all fees shall be quoted in Indian Rupees. User shall be solely responsible for compliance of all applicable laws including those in INDIA for making payments on RAV Studio.

Section:7 - User Information and Third Party Tools/Links

RAV STUDIO collects various types of information, some information is non-personal information and some is personal information. All information about users that are collected, stored or transmitted in any way on Platform is processed for facilitating various operations on platform, including registration, order placement, listing, or payments. For a more comprehensive understanding, Users are required to view the platform’s Privacy Policy available on the Platform.

Section:8 - Contents Posted on Platform

Not all information on the Platform is provided by RAV STUDIO.

User shall be responsible for any notes, messages, emails, reviews, ratings, photos, drawings, profiles, opinions, images, videos, audio files or other materials or information posted or transmitted to the platform (collectively, "Content"). Such Content(which do not violates the policy guidelines) will become our property and user grant us the worldwide, perpetual and transferable rights in such content. We shall be entitled to, consistent with our privacy policy as adopted in accordance with applicable law, use the content or any of its elements for any type of use forever, including but not limited to promotional and advertising purposes and in any media whether now known or hereafter devised, including the creation of derivative works that may include the content user provide. User agree that any content user post may be used by us, consistent with our privacy policy and other guidelines on site as mentioned herein, and user are not entitled to any payment or other compensation for such use.

Section:9 - Disclaimer of Warranties and Liability

RAV STUDIO, in no event, is or will be liable to User or anyone claiming through a user in respect of product or other User Transaction under contract, negligence, strict liability or other legal or equitable theory for any special, incidental, indirect, consequential, exemplary or punitive damages, loss of goodwill, loss of revenue, loss of opportunity, loss of anticipated profits, whatsoever, including those resulting from loss of use, data or profits, whether or not foreseeable or whether or not RAV STUDIO has been advised of the possibility of such damages, or based on any theory of liability, including breach of contract or warranty or negligence or any other claim arising out of or in connection with the use of or access of platform.

RAV STUDIO shall not be liable for: any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation any financial losses, loss of data, replacement costs, or any similar damages, whether based in contract, tort, strict liability or otherwise, arising from the use of platform, or for any other claim related in any way to the use of the platform, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the platform or any content posted, transmitted, or otherwise made available via the platform, even if advised of their possibility.

As required by applicable law, if the buyer makes a purchase of an amount equal to or above INR 2 00 000.00, the buyer will be required to upload a scanned copy of his/her PAN card on the platform, failing which, the purchase made by the buyer will be cancelled. The requirement to submit the PAN card arises only once and if it has been submitted once by the buyer, it need not be submitted again. The order of the buyer shall stand cancelled if there is a discrepancy between the name of the buyer and the name on the PAN Card.

Buyer and Seller shall comply with all the applicable laws (including without limitation Foreign Exchange Management Act, 1999 and the rules made and notifications issued there under and the Exchange Control Manual as may be issued by Reserve Bank of India from time to time, Customs Act, Information and Technology Act, 2000 as amended by the Information Technology (Amendment) Act 2008, Prevention of Money Laundering Act, 2002 and the rules made there under, Foreign Contribution Regulation Act, 1976 and the rules made there under, Income Tax Act, 1961 and the rules made there under, Export Import Policy of Government of INDIA) applicable to them respectively for using Payment Facility and RAV Studio Platform.

Advertisements in platform are intended, solely to provide general information for the personal use of the user(s). The RAV STUDIO accepts no responsibility or liability in relation to the platform advertisements including without limitation on account of user use or reliance placed by user on such subject information. The correspondence or business dealings of users with, or participation in promotions of, advertisers found on or through the platform, including payment and delivery of related products or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between the user and such advertiser. The RAV STUDIO shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the platform.

In the event, a link is displayed on the platform advertisement and if user select to click on a link which leaves platform, User will be redirected to a third-party website that is not owned, operated, or controlled by the RAV STUDIO. The link is provided solely for the convenience of the user and may assist the user in locating other useful information on the internet. The third-party website is governed exclusively by its respective policies over which we have no control. User bear the sole risk in proceeding to access the contents, products/services of the third-party website and links provided therein.

The user shall not hold the RAV STUDIO responsible and the RAV STUDIO disclaims any liabilities, losses, damages, expenses, claims or injury arising out of or in connection with: (i) the advertisements displayed on platform; (ii) contents of the platform advertisement; (iii) representations and statements made by the advertiser; (iv) subject matter of the platform advertisements and the products/services referred thereunder (including without limitation on account of suitability, merchantability, reliability, availability or quality of the product/service); and/or (v) platform advertisement being misleading and/or not in compliance with applicable laws.

The images of the products shown in other advertisements are for illustrative purposes and creative representation only and may vary from the actual products. The scenes, characters, references in brand films and videos are purely fictional and only for representational purposes. Unless otherwise mentioned, all the product related deals/discounts mentioned in other advertisements are offered by the participating sellers/brands to the total exclusion of the RAV STUDIO. All other advertisements with details of starting prices for a product category are for reference only and the actual price of the product may vary.

The offers, discounts and other promotional offers displayed in other advertisements may vary for the customers based on factors relating to the customer such as usage of the platform, volume of transactions, time spent on the platform, city, place of residence, time, etc.

RAV Studio reserves the right to amend or discontinue any of the offers/deals/discounts at their sole discretion and without any prior intimation to any user.

Section:10 - Force Majeure Event

RAV STUDIO shall not be liable for any damages whatsoever arising out of force majeure or other similar circumstances, directly or indirectly affecting RAV STUDIO and/or the platform. Examples of force majeure events include without limitation real or potential labour disputes, governmental actions, war or threat of war, sabotage, civil unrest, demonstrations, fire, storm, flooding, explosion, earthquake, epidemic or pandemic, provisions or limitations of materials or resources, inability to obtain the relevant authorization, accident, and defect in electricity or telecommunication network.

Force majeure or other events beyond the RAV STUDIO’s control, hindrance, delay or complication in the maintenance of the platform entitles the RAV STUDIO to suspend or limit the platform until further notice.

Section:11 - Indemnity

User shall indemnify and hold harmless RAV Studio, its owner, licensee, subsidiaries, group companies (as applicable) and their respective officers, directors and employees, from any claim or demand, or actions including reasonable attorneys' fees, made by any third party or penalty imposed due to or arising out of user breach of this Terms of Use, privacy policy and other policies, or user violation of any law, rules or regulations or the rights (including infringement of intellectual property rights) of a third party.

User’s breach of this agreement;

Any claims made by any third party due to, or arising out of, or in connection with User’s use of platform including by end users/consumers of RAV Studio;

User’s violation of any rights of another, including intellectual property rights; and

User’s violation of any applicable laws.

Section:12 - Applicable Law

Terms of Use shall be governed by and interpreted and construed in accordance with the laws of India. The place of jurisdiction shall be exclusively in Bhopal.

Section:13 - Jurisdictional Issues/Sale in INDIA Only

Unless otherwise specified, the material on the Platform is presented solely for the purpose of sale in INDIA.

Section:14 - Trademark, Copyright and Restriction

Products on this site are sold by RAV Studio. All material on this site, including images, illustrations and video clips, are protected by copyrights, trademarks, and other intellectual property rights. User must not copy, reproduce, republish, upload, post, transmit or distribute such material in any way, including by email or other electronic means and whether directly or indirectly and user must not assist any other person to do so. Without the prior written consent of the owner, modification of the materials, use of the materials on any other platform is a violation of the copyrights, trademarks and other proprietary rights, and is prohibited.

Section:15 - Trademark complaint

RAV Studio respects the intellectual property of others. In case User feel that user Trademark has been infringed, User can write to RAV Studio at: support@ravstudio.co.in

Section:16 - Limitation of Liability

In no event shall RAV Studio be liable for any special, incidental, indirect or consequential damages of any kind in connection with these terms of use, even if user has been informed in advance of the possibility of such damages.
